Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AideRoster website and services (the "Service"), operated by [Company legal name] ("AideRoster", "we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. What AideRoster is — and is not

• AideRoster is a directory and matchmaking platform. It lets people who build AI agents ("Creators") list them, and lets businesses and individuals ("Buyers") discover agents, post jobs, and contact Creators.
• We do not build, host, operate, or run any agent listed on the Service. Agents run on the Creator's or a third party's systems. Links to trials, websites, or demos take you off the Service.
• We do not process payments. Any purchase, subscription, or service agreement is made directly between you and the Creator, on terms you agree with them. We are not a party to those agreements and are not an agent, broker, escrow, or guarantor for either side.
• Labels such as ratings, reviews, or status badges are informational only and are not a guarantee of quality, safety, legality, or fitness for a particular purpose.

2. Accounts

• You must be at least 18 years old and able to form a binding contract to use the Service.
• Provide accurate information and keep your password secure. You are responsible for activity under your account.
• Do not create accounts to impersonate others or to manipulate reviews or search.

3. Your dealings with other users

You are solely responsible for evaluating Creators, agents, Buyers and jobs, and for any agreement, payment, data sharing, or integration you enter into with another user. Before connecting an agent to your systems or sharing data with it, review the Creator's own terms, privacy practices, and security. Disputes between users are between those users; we may, but are not obliged to, help.

4. Content you post

• You keep ownership of the listings, profiles, job posts, reviews and messages you submit ("User Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce and distribute your User Content as needed to operate, promote and improve the Service.
• You confirm that your User Content is accurate, that you have the rights to post it, and that it does not infringe anyone's rights or break any law.
• Creators must describe their agents honestly, including what the agent does, how it connects, pricing, and availability. Reviews must reflect genuine experience and must not be paid for or written about your own agent.

5. Prohibited conduct

You agree not to use the Service to:

• list or promote agents or services that are illegal, deceptive, or malicious (e.g. malware, credential harvesting), or that facilitate fraud, harassment or spam;
• post false, misleading, defamatory, hateful or sexually explicit content;
• send unsolicited bulk messages, or collect other users' data without consent;
• interfere with, scrape at scale, probe, or attempt to gain unauthorised access to the Service; or
• circumvent moderation, reviews, or any limits we place on the Service.

6. Moderation and removal

We may review listings before or after publication. We may, at our discretion and without prior notice, refuse, unpublish, or remove any User Content, and suspend or terminate any account, if we believe it violates these Terms, creates risk for users or for us, or is otherwise inappropriate. We are not obliged to monitor User Content and are not responsible for it. To report content, contact us at hello@aideroster.com.

7. Fees

AideRoster is currently free for everyone — business owners and creators alike. We do not charge listing fees, subscription fees or commissions. If this ever changes we will tell you in advance, and nothing will be charged without your agreement. Prices shown on agent listings are set by their creators and paid to them directly.

8. Third-party links and services

The Service links to third-party websites, trials and agents that we do not control. We are not responsible for their content, availability, security, or practices. Your use of them is at your own risk and subject to their terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY AGENT, CREATOR, BUYER OR LISTING IS ACCURATE, RELIABLE, SAFE, OR LAWFUL, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. AI agents can produce incorrect or harmful output; you are responsible for how you use them.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDEROSTER AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE, ANY AGENT, OR ANY DEALINGS BETWEEN USERS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnity

You agree to indemnify and hold harmless AideRoster and its operators from claims, losses and expenses (including reasonable legal fees) arising from your User Content, your agents, your dealings with other users, or your breach of these Terms.

12. Termination

You may stop using the Service and request account deletion at any time (see our Privacy Policy). We may suspend or terminate access as described above. Sections that by their nature should survive termination will survive.

13. Changes

We may update these Terms. If changes are material we will give reasonable notice (for example on the site or by email). If you keep using the Service after changes take effect, you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of [State / Country], without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction, unless applicable consumer law gives you other rights.
